Dear GoPro Reseller,

As the leading innovator in wearable and gear mountable digital cameras for sports, GoPro is proud of our role in pioneering this new form of activity image capture. Professional athletes and weekend warriors, aspiring filmmakers and established production companies alike are using GoPro cameras and accessories to simplify capturing video and photos of their most active and exciting experiences.

We recognize that our high-quality dealers invest time and resources to deliver an extraordinary customer experience through knowledgeable staff and compelling vendor presentation. In turn, we are committed to developing and delivering performance products that continue to generate strong consumer interest.

To protect the investment of our high-quality dealers and GoPro's brand reputation, we have unilaterally adopted an ADVERTISING AND DISTRIBUTION POLICY ("Policy"). All GoPro dealers should be aware of this Policy.

The details of this Policy follow below. GoPro retains complete sole discretion whether and to what extent it is willing to have its products sold by any particular reseller. GoPro does not ask for nor accept that any reseller will comply with this Policy, and nothing in this Policy is intended to be, or construed as, an agreement regarding the minimum prices at which you will advertise or resell GoPro products. You must determine, in your sole discretion, the price at which you will sell GoPro products.

GoPro reserves the right to unilaterally modify, change or update its Policy at any time and without notice. The Policy is posted at the following website: http://partner.goprocamera.com. It is your sole responsibility to access this website periodically to review the current terms of GoPro's Policy, as it is modified from time to time.

GoPro ADVERTISING AND DISTRIBUTION POLICY

1. GoPro recognizes that any authorized GoPro account can make their own decisions to advertise and sell any GoPro product at any price they choose without consulting or advising GoPro. GoPro similarly has the right to make its own independent decision regarding product allocations and reseller participation as a member of GoPro's distribution network - at any time.


2. GoPro will maintain an updated "MAP Products" list of those products that will fall under this Policy. GoPro reserves the right to update or modify this list at any time.


3. All Products listed will have a MAP retail price. Listing a price other than the MAP retail price next to the featured MAP Product in any advertising will be viewed as a violation of this Policy. This MAP Policy applies to all advertisements of MAP Products in any and all media, including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet or similar electronic media including websites, forums, email newsletters, email solicitations, television, radio, and public signage. This includes any offer of the MAP Products for sale on any website. GoPro reserves the right to approve any advertising or other means of consumer information that solicits interest in the listed MAP Products. GoPro may elect not to continue to supply products in the future to resellers who use phrases such as "Will not be undersold", "Will beat any price", "Guarantee lower price", or other similar phrases in any media in conjunction with any of GoPro's MAP Products. This Policy also applies to any activity which GoPro determines, in its sole discretion, is designed or intended to circumvent the intent of this Policy, such as solicitations for 'group purchases' and the like.


4. From time to time, GoPro may permit resellers to sell MAP Products at prices lower than the MAP retail price. In such events, GoPro reserves the right to modify or suspend the MAP retail price with respect to the affected products for a specified period of time by providing reasonable advance notice to all resellers of such changes, provided that such changes shall apply equally to all resellers.


5. It is expressly prohibited to offer to sell, sell and/or fulfill orders for MAP Products through any internet auction site (such as eBay) or on any internet storefront (such as Amazon Marketplace, eBay Stores, or Yahoo! Shopping storefronts) without the prior written approval of GoPro, which may be withheld at GoPro's sole discretion.


6. Dealer is not permitted to ship MAP Products to any customer located outside the United States without the prior written approval of GoPro, which may be withheld in its sole discretion.


7. Although resellers remain free to establish their own resale prices, GoPro reserves the right to cancel all orders and indefinitely refuse to accept any new orders from any reseller following GoPro's verification that such reseller has advertised or offered any MAP Products at a net retail sales price less than the then-current MAP retail price established by GoPro, or if reseller has violated this policy in any other way.


8. GoPro's sales representatives are NOT permitted to discuss this Policy or make any agreements or assurances with respect to GoPro's Policy regarding reseller advertising or pricing. This also includes any consumer program or promotion that affects the below-listed MAP Products.
